The Influence.bg web platform ("the Platform") is operated by Веромакс ЕООД, company registration number (EIK) 206936727, registered seat and address of management: гр. София, ж.к. These Terms of Service ("the Terms") govern access to and use of the Platform. By registering or using the Platform, you ("User") accept these Terms.

Influence.bg is an intermediary platform that connects Bulgarian businesses ("Businesses") with independent creators ("Creators"). We are not a party to the contracts between Businesses and Creators, except as expressly stated with respect to fees and escrow payments.

The Platform is intended for individuals aged 18 and over. By registering, you declare that you have the legal capacity to enter into contracts and that the information you provide is true.

You create an account as an "Creator" or a "Business". A single user may hold only one account type, unless we expressly allow otherwise.

When registering, you provide your name, email, and other information necessary for the Platform to operate. You are responsible for keeping your password confidential and for all activity carried out through your account.

Creators may publish a public profile (photo, bio, city, niche, social networks, portfolio) and create services: ready-made packages with a title, description, price, and delivery time, visible on their profile. Creators may also send personal deals in direct messages to prospective clients. Businesses and clients fill in account details that become visible during communication and when entering into deals.

We reserve the right to remove, restrict, or suspend an account in the event of a breach of the Terms, suspected fraud, or a legal obligation.

The Platform provides:

• a public directory for discovering creators;
• publishing and managing services offered by creators on their profile;
• sending personal deals from creators in chat;
• direct messaging between businesses, clients, and creators;
• creating and managing contracts/deals ("Deals"), including orders for services;
• escrow payments via Stripe Connect;
• payment documents and invoices under section 7;
• notifications and administrative tools.

Delivery of creative content (videos, photos, links to posts, etc.) takes place on the Platform, item by item as agreed in the order. The Platform does not guarantee the quality of the content and is not responsible for communication that takes place outside the tools it provides.

A Deal can start in two main ways: (1) a client or business orders a service published on an creator's profile; or (2) the creator sends a personal deal in chat, which the client or business accepts. In either case, the terms (description, amount, deadline) are agreed before payment.

All amounts on the Platform are displayed and paid in euro (EUR), unless expressly stated otherwise. The displayed amount is the final amount payable by the client or business.

Payment. The client or business pays up front, when ordering, the order price, any selected add-ons and a payment protection fee on that amount that depends on the business's plan: 5% on the free plan, 2.5% on Pro and 0% on Business. The fee is shown separately before payment. The money is held in escrow via Stripe until the delivery is approved. From the order price and add-ons, Influence.bg withholds a 10% fee charged to the Creator, and the remaining 90% is paid out to the Creator after approval, unless expressly stated otherwise for a specific kind of deal (e.g. a payment link).

A contract for every order. For every order the Platform prepares a written contract between the client or business and the Creator based on the order's terms: subject, deadline, fee, usage rights for the content, delivery and revisions. By paying, the parties accept the contract, and either of them may also sign it electronically. Changes to the contract, such as extending the usage rights, are made by annex. Influence.bg is not a party to this contract.

Cancelling or declining before delivery. Until the Creator has sent the delivery, the client or business may cancel the order on the Platform, and the Creator may decline it. In either case the order price and paid add-ons are refunded the way they were paid, usually within 5 to 10 business days depending on the bank. The payment protection fee is not refunded, without prejudice to consumers' rights under section 8. Once the delivery has been sent, the order can no longer be cancelled unilaterally, and objections are handled through the dispute process below.

Once the creator marks the deal as delivered, the business approves or disputes the result. Upon approval, funds are released to the creator in accordance with Stripe Connect's rules. In the event of a dispute, either party may notify Influence.bg; we may mediate but are not obligated to resolve disputes as an arbiter. If the parties fail to reach agreement, the funds held in escrow remain frozen until the dispute is settled voluntarily between the parties or resolved by a competent authority under section 12.

The Platform's fees are set out in section 6: a payment protection fee for the client or business (5%, 2.5% or 0% depending on the plan), and 10% of the order price charged to the Creator. You are responsible for your own tax, social security, and accounting obligations, including VAT where applicable. Influence.bg does not provide tax advice.

Influence.bg is not a party to the service contract between the Creator and the client or business, and does not enter into civil contracts with Creators. Our role is that of a technology platform and provider of the escrow payment described in section 6. The Creator is solely responsible for issuing the documents legally required for income they receive, except in the self-billing case described below.

Creators registered with a company/UIC number. If the Creator acts as a sole trader or a company registered with a Bulgarian Unified Identification Code (EIK/BULSTAT), they may authorize Influence.bg to issue invoices on their behalf and for their account for services rendered through the Platform, in accordance with Art. 113(11) of the Bulgarian VAT Act (self-billing). This authorization is given explicitly in the Creator's account and may be withdrawn at any time for future orders. To do so, the Creator provides their business name, EIK/BULSTAT, VAT number (if VAT-registered), and address. The Creator is responsible for the accuracy of the data provided and must notify us of any change to it.

Invoices issued this way are deemed accepted by the Creator if they do not object through the Platform within 5 business days of the invoice being made available in their account. A timely objection halts the accounting of the document until the matter is resolved. These documents are issued under a separate numbering sequence, explicitly marked as self-billed.

Creators without a company/UIC registration. If the Creator is an individual without such a registration, Influence.bg does not issue an invoice or other accounting document on their behalf and for their account. For every paid and approved order, the Platform provides the Creator's and the client's or business's account with a payment confirmation containing the order details, the amount paid, the fee withheld, and the amount paid out to the Creator. The payment confirmation is informational only, is not an invoice, and is not a tax document. Declaring and paying any taxes and social security contributions due on this income remains entirely the Creator's own responsibility.

Separately from the document issued to the client or business, Influence.bg issues an invoice for its own fee under section 6 to Creators registered with an EIK/BULSTAT. For Creators without such a registration, the fee withheld is stated in the payment confirmation instead.

If you enter into a Deal as an individual acting outside your trade or profession (a "consumer" within the meaning of the Bulgarian Consumer Protection Act), the law gives you a 14-day period to withdraw from a distance service contract, without owing compensation or a penalty and without stating a reason.

Because performance of most Deals (e.g. the creation and delivery of content by an creator) typically begins before the 14-day period has expired, by paying you expressly confirm a request for immediate performance and acknowledge that you lose your right of withdrawal once the contract has been fully performed by the creator. If the contract has not been fully performed, you may exercise your right of withdrawal, in which case you owe a proportionate part of the price for the work already carried out up to the time you notify us of the withdrawal.

You may not:

• post unlawful, misleading, defamatory, or discriminatory content;
• impersonate another person or business;
• use the Platform for spam, phishing, or fraud;
• circumvent Influence.bg's fees through payments made outside the Platform after contact was made here;
• infringe the intellectual property rights of third parties;
• attempt unauthorized access to systems or data.

Circumventing the Platform. Deals that start or are agreed through the Platform are paid and fulfilled only through it. You may not offer, request, or accept payment outside the Platform (bank transfer, Revolut, PayPal, cash, etc.) to avoid Influence.bg's fees and commissions. Payments made outside the Platform do not get its protection (held payment, deadlines, disputes, documented rights).

Until the two parties have a paid order, the Platform automatically hides contact details in chat (phone, email, links, social media profiles) and payment details. Messages containing such details may be reviewed by the Influence.bg team. Confirmed circumvention leads to a warning, removal from the catalog, or account suspension, and Influence.bg may claim compensation equal to the fees and commissions it lost.

Rights to content created under a deal are settled between the business and the creator, unless the parties agree otherwise. Influence.bg does not claim ownership of creative content, other than its own brand, design, and software.

You grant Influence.bg a limited, non-exclusive license to display material from your profile solely for the operation of the Platform (directory, OG images, SEO, and similar).

The Platform is provided "as is". To the maximum extent permitted by law, we exclude any warranty of uninterrupted or error-free operation.

Influence.bg is not liable for indirect, incidental, or consequential damages, loss of profit, or loss of opportunity arising from use of the Platform or from the relationship between businesses and creators. Our total liability to you is limited to the fees paid to Influence.bg over the preceding 12 months, unless the law requires otherwise. Nothing in these Terms limits liability that cannot be limited by law (e.g. intent or gross negligence).

You agree to indemnify and hold Influence.bg harmless from third-party claims, damages, or costs (including reasonable legal fees) arising from: your breach of these Terms; content you post or provide through the Platform; or a violation of applicable law or third-party rights in connection with your Deal.

Neither party is liable for non-performance caused by circumstances beyond its reasonable control: natural disasters, war, acts of government authorities, disruption of the internet, power outages, or third-party service outages (including Stripe), strikes, or similar events. During such an event, the affected obligation is suspended for the duration of the impediment.

You may request deletion of your account via the settings or by contacting us. We retain data that we are required to keep by law or to protect our rights. Active deals and financial obligations remain subject to Stripe's rules and applicable law.

We may update the Terms. For material changes, we will notify you through the Platform or by email. Continued use after the changes take effect constitutes acceptance.

The Terms are governed by the law of the Republic of Bulgaria. Disputes with Influence.bg are resolved by the competent Bulgarian court, unless you have protected consumer rights under another procedure.

If you are a consumer, you may also file a complaint with the Bulgarian Consumer Protection Commission (KZP), Sofia, 4A Slaveykov Sq., floors 3, 4 and 6, kzp.bg, or through the European Commission's Online Dispute Resolution platform: ec.europa.eu/consumers/odr.
